1. Acceptance of Terms
By accessing or using YourAI (the "Service"), operated by Melade, Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
YourAI is a private AI infrastructure platform that provides artificial intelligence capabilities to organizations in regulated industries. The Service includes AI-powered document analysis, research, report generation, and related workflows, all delivered through a secure, compliance-focused platform.
3. Accounts and Access
You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old to create an account. Organizations must designate an Admin who accepts responsibility for all users within the organization.
4. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or extract source code from the Service; (c) interfere with the Service's operation or other users' access; (d) share credentials or allow unauthorized access; (e) upload content that infringes third-party intellectual property rights; (f) use the Service to generate content that violates applicable laws or regulations.
5. Data Ownership
Your data is yours. You retain all rights to content you upload to YourAI. We do not claim ownership of your documents, prompts, or AI-generated outputs. We process your data solely to provide the Service and as described in our Privacy Policy. Your data is never used to train AI models.
6. AI-Generated Content
The Service uses third-party AI models (OpenAI, Anthropic, Google) to generate responses. AI-generated content may contain errors, omissions, or inaccuracies. You are responsible for reviewing and validating all AI-generated outputs before relying on them for professional, legal, medical, financial, or other consequential decisions.
7. Fees and Billing
Paid plans are billed monthly or annually per user. Pricing is listed on our Pricing page. We may change pricing with 30 days' advance notice. All fees are non-refundable except as required by law or as specified in your enterprise agreement.
8. Service Level
We target 99.9% uptime for the Service. Scheduled maintenance windows are communicated via the Status Page with at least 48 hours' notice. Enterprise customers may negotiate specific SLAs.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MELADE, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Termination
Either party may terminate the agreement at any time. Upon termination, we will retain your data for 30 days (grace period) before permanent deletion, except for audit logs retained as required by law. See our Data Retention Policy for details.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email to the Admin on record at least 30 days before they take effect. Continued use of the Service constitutes acceptance of updated Terms.
